Terms of Service
Effective Date: 1 January 2025
These Terms of Service ("Terms") govern your use of the website www.themedia.in and any services provided by The Media, a web development and digital services agency registered in Bengaluru, Karnataka, India. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Services
The Media provides web development, UI/UX design, SEO, and related digital services to businesses. The specific scope, deliverables, timelines, and pricing for each project are defined in a separate written agreement, proposal, or Statement of Work (SOW) shared with the client prior to commencement.
2. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information, content, and feedback required for project delivery
- Designate a single point of contact for approvals and communication
- Review and approve deliverables within the timelines specified in the project agreement
- Not use our deliverables for any unlawful, fraudulent, or harmful purposes
Delays caused by failure to provide timely feedback or required materials are the responsibility of the client and may affect project timelines without liability to The Media.
3. Payment Terms
- All fees are quoted in Indian Rupees (INR) unless stated otherwise
- Projects typically require an advance payment as specified in the project proposal before work commences
- Invoices are due within 7 days of issuance unless otherwise agreed in writing
- Late payments beyond 15 days may attract an interest charge of 1.5% per month on the outstanding amount
- The Media reserves the right to pause or withhold delivery of work in the event of non-payment
4. Intellectual Property
4.1 Client-Owned Content
All content, materials, logos, and data provided by the client remain the exclusive property of the client. You grant The Media a limited licence to use such materials solely for the purpose of delivering the agreed services.
4.2 Deliverables
Upon full and final payment of all outstanding fees, all custom deliverables created specifically for the client (websites, designs, copy) are assigned to the client. Until full payment is received, The Media retains ownership of all work product.
4.3 Portfolio Rights
The Media reserves the right to display completed work in its portfolio, website, and marketing materials, unless the client requests confidentiality in writing prior to project commencement.
4.4 Third-Party Assets
Any third-party fonts, stock images, plugins, or software incorporated into deliverables are subject to their respective licences. The client is responsible for obtaining and maintaining any required licences for ongoing use.
5. Revisions and Scope
The number of revision rounds included in a project is specified in the project proposal. Additional revisions or changes to the agreed scope of work will be quoted and billed separately. Significant scope changes may require a revised SOW and timeline.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement and not to disclose it to any third party without prior written consent. This obligation survives the termination of the service agreement.
7. Limitation of Liability
To the maximum extent permitted by applicable Indian law, The Media's total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you for the specific project giving rise to the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of data, loss of revenue, or loss of business opportunity.
8. Warranties and Disclaimers
The Media warrants that services will be performed with reasonable skill and care. We do not warrant that our deliverables will be error-free or that the website will achieve specific business outcomes, rankings, or revenue targets. SEO results, conversion rates, and other performance metrics are influenced by many external factors beyond our control.
9. Termination
Either party may terminate a service agreement with 14 days' written notice. Upon termination:
- All fees for work completed up to the termination date become immediately due and payable
- The Media will deliver all completed work product upon receipt of outstanding payment
- Advance payments for work not yet commenced may be refunded at The Media's discretion (refer to our Refund & Cancellation Policy)
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
11. Amendments
We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website or services after any changes constitutes acceptance of the revised Terms. For active client projects, material changes to Terms will be communicated in writing.
